• Marketing consultation and advisory services

User Obligations

When using our Service, you agree to:

• Provide accurate and complete information when requested
• Use the Service only for lawful purposes and in accordance with these Terms
• Not interfere with or disrupt the Service or servers connected to the Service
• Not attempt to gain unauthorised access to any portion of the Service
• Comply with all applicable local, state, national, and international laws and regulations

• Not transmit any viruses, malware, or other harmful code

For ongoing service agreements, any significant changes to service delivery will be communicated to clients with appropriate notice periods as specified in individual contracts.

Payment Terms

Payment terms for our services will be specified in individual service agreements or proposals. Unless otherwise specified:

• Payment is due within 30 days of invoice date
• All fees are quoted in Euros (EUR) unless otherwise specified
• Late payments may incur additional charges as specified in service agreements
• Refunds, if applicable, will be handled according to individual service agreements
• All prices are exclusive of applicable taxes unless otherwise stated

We reserve the right to suspend services for accounts with overdue payments until payment is received.

Confidentiality

We understand that in the course of providing our services, we may have access to confidential business information. We commit to maintaining the confidentiality of all client information and will not disclose such information to third parties without explicit consent, except as required by law.

This confidentiality obligation extends to:

• Business strategies and marketing plans
• Financial information and performance data
• Member data and customer information
• Proprietary business processes and methodologies

Clients similarly agree to maintain confidentiality regarding our proprietary marketing methodologies and strategies.

Limitation of Liability

In no event shall ApexNavigatores Ltd, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your use of the Service.

Our total liability to you for all claims arising from or relating to the Service shall not exceed the amount paid by you to ApexNavigatores for the Service during the twelve (12) months preceding the claim.

While we strive to provide effective marketing strategies, we cannot guarantee specific results, including but not limited to:

• Specific increases in membership or revenue
• Particular return on investment (ROI) figures
• Guaranteed performance metrics or outcomes

Marketing success depends on various factors beyond our control, including market conditions, competition, and client implementation of recommendations.

Disclaimer of Warranties

The information on this Service is provided on an "as is" basis. To the fullest extent permitted by law, ApexNavigatores excludes all representations, warranties, conditions, and other terms which might otherwise be implied by statute, common law, or the law of equity.

We do not warrant that:

• The Service will be constantly available or uninterrupted
• The Service will be free of errors, viruses, or other harmful components
• The results obtained from using the Service will be accurate or reliable
• Any defects in the Service will be corrected

Nothing in these Terms excludes or limits our liability for death or personal injury arising from our negligence, fraud, or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by law.

Governing Law

These Terms shall be interpreted and governed by the laws of the Republic of Cyprus, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts of Cyprus.

As ApexNavigatores operates within the European Union, our services and these Terms also comply with applicable EU regulations, including but not limited to:

• General Data Protection Regulation (GDPR)
• Digital Services Act (DSA)
• E-commerce Directive
• Consumer Rights Directive

If you are a consumer in the EU, you may also have rights under your local consumer protection laws that cannot be waived by these Terms.

Termination

We may terminate or suspend your access immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.

For ongoing service agreements, termination procedures will be as specified in individual contracts. Generally:

• Either party may terminate with appropriate notice as specified in the service agreement
• Immediate termination may occur in cases of material breach
• Upon termination, payment obligations for services already provided remain in effect
• Confidentiality obligations survive termination

Upon termination of your account, your right to use the Service will cease immediately. If you wish to terminate your account, you may simply discontinue using the Service and contact us to close any ongoing service agreements.

All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

Indemnification

You agree to defend, indemnify, and hold harmless ApexNavigatores Ltd and its licensee and licensors, and their employees, contractors, agents, officers and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees).

This indemnification applies to claims resulting from: (a) your use of and access to the Service; (b) your violation of any term of these Terms; (c) your violation of any third party right, including without limitation any copyright, property, or privacy right; or (d) any claim that your use of the Service caused damage to a third party.

Changes to Terms
